These definitions are shared vocabulary for Mantelin LLC's legal documents. They are incorporated by reference into the Mantelin Core Privacy Terms, the Mantelin Core Terms of Service, each Product's Schedules, and any document that cites them. They are versioned once, here; changes are recorded at sprooster.com/legal/changelog, and a material change to a definition is treated as a material change to each document that incorporates it (so the notice rules of those documents apply).
"Agreement" — the Mantelin Core Terms of Service together with the applicable Product's ToS Schedule and any documents they incorporate, including the applicable Privacy Policy.
"Content" — material you or your Organization submit to, create within, or connect to a Product.
"Core Terms" — the shared Part A of a Mantelin legal document: the Core Privacy Terms or the Core Terms of Service, as context requires, identical across all Mantelin Products.
"De-identified Data" — data that can no longer reasonably be linked to an identifiable person.
"DPA" — a Data Processing Agreement between Mantelin and an Organization governing Organization Data.
"Early Access" — a Product or feature designated as early access, beta, preview, or similar, offered with the reduced commitments described in the Core Terms of Service.
"Fees" — amounts payable for a Product, as described in that Product's ToS Schedule.
"Mantelin," "we," "us" — Mantelin LLC, a Tennessee limited liability company.
"Organization" — a company, school, or other entity that is our customer and administers a Workspace in a Product.
"Organization Data" — Personal Data about an Organization's people (employees, students, members) that the Organization supplies or syncs into a Product, and for which the Organization is the controller as described in the Core Privacy Terms.
"Personal Data" — information that identifies or can reasonably be linked to an identifiable person.
"Privacy Policy" — for a given Product, the Core Privacy Terms together with that Product's privacy Schedule.
"Product" — a product or service operated by Mantelin LLC, including Sprooster, HomeTabs, BleacherFund, and other Mantelin services. Each Product's legal pages identify it.
"Schedule" — the Part B of a Mantelin legal document: a Product-specific supplement to Core Terms. A privacy Schedule supplements the Core Privacy Terms (sections S1–S11); a ToS Schedule supplements the Core Terms of Service (sections T1–T8). A Schedule adds to and specifies its Core Terms and, on genuine conflict, controls — except where its Core Terms designate floor provisions no Schedule may weaken.
"Sub-processor" — a service provider Mantelin uses that processes Personal Data on Mantelin's behalf.
"Workspace" — an Organization's or account's instance within a Product, and the data in it.
"you" — the person accepting or using a Product; where that person acts on an Organization's behalf as described in the Core Terms of Service, "you" includes the Organization.
